Terms of Service
Terms of Service
These terms describe the rules for using this website and the general conditions that apply when requesting or receiving services from Kwanobi.
Effective May 21, 2026
Acceptance of these terms
By using this website, requesting services, approving work, paying an invoice, or otherwise engaging Kwanobi, you agree to these Terms of Service and any written proposal, invoice, statement of work, order form, email approval, or other project-specific agreement that applies. If project-specific terms conflict with these terms, the project-specific written terms control for that project.
Website use
You may use this website to learn about Kwanobi and contact us about possible services. You agree not to misuse the website, interfere with its operation, submit false, unlawful, infringing, malicious, or harmful information, attempt unauthorized access, scrape or copy the site in an abusive way, or use the site to violate any law or third-party right.
Inquiries are not an agreement
Submitting a contact form, booking a call, or sending an email does not create a service agreement, partnership, employment relationship, fiduciary duty, agency relationship, exclusivity obligation, or guarantee of availability. Kwanobi may decline any inquiry or project at its discretion.
Services covered
Kwanobi may provide website, hosting, maintenance, email, domain, payment, ordering, booking, intake, automation, content, analytics, troubleshooting, consulting, implementation, migration, integration, training, support, and related web or business technology services, whether or not a specific service is listed on this website. Service descriptions on the website are general examples, not a promise that every listed item is included in every project.
Scope, changes, and approvals
Project scope, deliverables, timing, fees, dependencies, revision limits, and support terms must be confirmed in writing. Work outside the agreed scope may require a new estimate, change order, or additional fee. Client approvals by email, message, payment, or continued instruction may be treated as authorization to proceed.
Client responsibilities
Clients are responsible for providing accurate information, timely feedback, required approvals, account access, credentials, content, images, product or service details, legal policies, required licenses, and any permissions needed to perform the work. Delays, missing access, inaccurate information, or late approvals may change timelines, fees, launch dates, and support availability.
Content and legal compliance
Clients are responsible for the accuracy, legality, and rights clearance of all business, personal, product, service, pricing, claims, image, brand, policy, and customer-facing content they provide or approve. Kwanobi may help format, organize, or publish content, but does not provide legal, tax, financial, medical, regulatory, accessibility, privacy, or compliance advice. Clients should obtain professional review where needed.
Payments, expenses, and collections
Fees, deposits, retainers, milestones, recurring charges, due dates, cancellation terms, refund terms, and expense handling depend on the written terms for each project. Unless written otherwise, deposits and completed work are non-refundable, invoices are due when stated, and late or unpaid amounts may result in paused work, suspended service, removal of unpaid deliverables, late fees, collection costs, or termination of services to the extent allowed by law. Third-party costs are separate from Kwanobi fees unless specifically included in writing.
Third-party services
Projects may depend on third-party platforms such as domain registrars, hosting providers, payment processors, email providers, maps, analytics, ordering tools, booking tools, plugins, software vendors, app stores, marketplaces, and other service providers. Kwanobi is not responsible for third-party outages, bugs, pricing changes, feature changes, policy changes, data practices, service limits, denied accounts, suspended accounts, rejected applications, security incidents, or decisions made by those providers.
Accounts, credentials, and access
Clients are responsible for maintaining control of their accounts, billing methods, recovery email addresses, credentials, and administrative access. Kwanobi may request temporary access to perform work. Clients should not send sensitive credentials through insecure channels unless they accept the risk of doing so. Kwanobi may be unable to complete work if access is withheld, revoked, inaccurate, or controlled by another provider.
Hosting, maintenance, and support
Hosting, maintenance, monitoring, backups, updates, and support are provided only when included in a written agreement or active paid plan. No maintenance plan can guarantee uninterrupted uptime, perfect security, permanent compatibility, instant response, or recovery from every failure. Emergency work, malware cleanup, restoration, or support outside the agreed plan may be billed separately.
Launch, revisions, and acceptance
A project may be considered accepted when the client approves it, uses it publicly, asks Kwanobi to launch it, pays the final invoice, or does not report material issues within a reasonable review period stated in the project terms. Minor defects, third-party issues, or requested enhancements do not excuse payment for completed work.
Intellectual property
Clients retain rights to materials they provide. Unless written otherwise, Kwanobi retains rights to pre-existing tools, templates, processes, know-how, code libraries, workflows, and reusable components. After full payment, clients receive the rights to use final project deliverables for their intended business or personal purpose, subject to any third-party licenses and project-specific terms. Unpaid work may not be used without written permission.
Portfolio use
Unless a client requests otherwise in writing, Kwanobi may identify completed work in a portfolio, case study, proposal, or marketing material using the client name, logo, public website link, screenshots, and a general description of the work. Kwanobi will not intentionally disclose non-public confidential information in portfolio materials.
Confidentiality
Each party may receive non-public information from the other. The receiving party should use reasonable care to protect confidential information and use it only for the project or business relationship. Confidential information does not include information that is public, already known, independently developed, or lawfully received from another source.
Privacy and data
Use of this website is also governed by the Privacy Policy. Clients are responsible for determining what privacy notices, cookie notices, consent flows, records, contracts, and data handling obligations apply to their own website, customers, users, staff, or business operations.
Security
Kwanobi uses reasonable care in providing services, but no website, account, integration, email system, payment flow, host, plugin, or internet-connected service can be guaranteed completely secure. Clients are responsible for following good security practices, including strong passwords, multi-factor authentication, controlled account access, timely updates, and careful handling of sensitive information.
No professional advice
Information on this website and any general guidance from Kwanobi is provided for practical planning purposes only. Kwanobi does not provide legal, tax, accounting, financial, medical, insurance, employment, or regulated professional advice. Clients should consult qualified professionals for those matters.
No warranty
The website and services are provided as-is and as-available except as expressly stated in a written agreement. To the fullest extent allowed by law, Kwanobi disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, search ranking, sales results, lead volume, payment approval, platform acceptance, or compatibility with every future third-party change.
Limitation of liability
To the fullest extent allowed by law, Kwanobi will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, business interruption, replacement services, or third-party claims. To the fullest extent allowed by law, Kwanobi’s total liability for any claim is limited to the amount paid to Kwanobi for the specific service giving rise to the claim during the three months before the event that caused the claim.
Indemnification
You agree to defend, indemnify, and hold Kwanobi harmless from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorney fees, arising from your content, instructions, approvals, account access, products, services, customers, legal obligations, breach of these terms, misuse of the website or services, or violation of any law or third-party right.
Suspension and termination
Kwanobi may suspend or terminate website access, services, support, hosting, maintenance, or work in progress if payment is late, required access is unavailable, a third-party provider suspends service, a security or legal risk appears, the relationship becomes impractical, or these terms or project-specific terms are breached. Termination does not remove the obligation to pay for work performed, expenses incurred, or active third-party costs.
Governing law and disputes
Unless a written agreement states otherwise, these terms and any related dispute are governed by the laws of the state where Kwanobi is based, without regard to conflict-of-law rules. The parties will first try to resolve disputes informally and in good faith. Any claim must be brought within one year after it arises unless a longer period is required by law.
Changes to these terms
Kwanobi may update these terms as the website, services, or legal requirements change. The effective date above shows when the current version took effect. Continued use of the website or services after changes means you accept the updated terms.
